HDFC Bank Q2 Profit Rises 4.7% to Rs 19,510 Crore as Deputy MD Kaizad Bharucha Announces Exit

India's largest private-sector lender, HDFC Bank, announced a double headline on Saturday: a 4.7 per cent rise in its second-quarter standalone net profit to Rs 19,510 crore, alongside the departure of its long-serving Deputy Managing Director, Kaizad Bharucha, who has sought to step down from the bank's services with effect from the close of business on December 31, 2026.

The announcements, made through separate exchange filings on October 17, capped a decisive board meeting that also saw the re-appointment of a former RBI executive as independent director and came just ten days before the bank's new chief executive takes charge.

In its filing to the stock exchanges, the bank stated: "Kaizad Bharucha, Deputy Managing Director, HDFC Bank has requested cessation from the service of the Bank with effect from the close of business hours on December 31, 2026." The request was first accepted by the bank's Governance, Nomination and Remuneration Committee on October 16 and then by the full board on October 17, which will now forward it to the Reserve Bank of India for regulatory approval.

The board placed on record its appreciation for Bharucha's more than three decades of service, with particular mention of his role in building the bank's credit architecture.

Bharucha, 60, is the bank's longest-serving executive board member. He joined HDFC Bank in 1995, rose through its wholesale banking and credit functions, has been on the board since 2014, and was elevated to Deputy Managing Director in April 2023. Within industry circles, he is widely described as one of the principal architects of the credit frameworks that underpinned the bank's famously low delinquency rates through multiple credit cycles.

His exit has a significant backstory in the bank's leadership succession. Bharucha was one of the candidates submitted to the Reserve Bank of India for the position of Managing Director and CEO, and was reportedly in serious contention for the top job. However, RBI's governance framework caps the continuous tenure of an MD, CEO or whole-time director at 15 years.

Bharucha has been a whole-time director since June 2014, which meant his tenure would have hit the regulatory ceiling in June 2029 — leaving him unable to complete a full three-year term at the helm.

The Reserve Bank instead approved the appointment of Anup Bagchi as Managing Director and CEO for a three-year term. Bagchi, a three-decade veteran of the ICICI Group and the former chief executive of ICICI Prudential Life Insurance, takes charge on October 27, 2026, succeeding Sashidhar Jagdishan, whose term ends on October 26.

The back-to-back leadership changes mean that by the start of 2027, both of the bank's top executive positions will have turned over within a span of about two months — a generational transition for an institution that has prized leadership continuity since its founding.

Alongside the leadership news, the bank reported its financial results for the second quarter of fiscal year 2027, the quarter ended September 30, 2026. Standalone net profit came in at Rs 19,510 crore, up 4.7 per cent from a year earlier. The figure narrowly missed analyst expectations, with the shortfall attributed to weaker treasury income and higher provisions in the quarter.

On a consolidated basis, net profit rose 5.55 per cent to Rs 20,700 crore, compared with Rs 19,611 crore in the corresponding quarter last year. Net interest income — the core measure of a bank's lending profitability — grew 9.7 per cent year-on-year to Rs 34,620 crore, up from Rs 31,550 crore.

The net interest margin stood at 3.16 per cent on total assets and 3.32 per cent on interest-earning assets, both figures broadly in line with the bank's recent trajectory as it continues to digest the landmark merger with Housing Development Finance Corporation.

Total income for the quarter was Rs 97,258 crore, up from Rs 91,040 crore a year earlier, while total expenditure rose to Rs 67,774 crore from Rs 63,117 crore. Provisions and contingencies were set at Rs 3,573.62 crore, marginally higher than the Rs 3,500 crore a year ago.

A notable bright spot in the numbers: profit after tax excluding treasury performance grew a healthier 12.6 per cent year-on-year, suggesting the core lending and fee engines remain in strong shape even as market-linked income softened.

Asset quality continued to improve, extending one of the bank's signature strengths. The gross non-performing assets ratio fell to 1.11 per cent, down from 1.17 per cent in the June quarter and 1.24 per cent a year ago. The net NPA ratio improved to 0.37 per cent from 0.41 per cent in the preceding quarter.

The capital adequacy ratio stood at 18.9 per cent, compared with 20 per cent a year earlier — still comfortably above regulatory requirements, though reflecting the balance-sheet expansion underway.

The results drew comparisons with peer ICICI Bank, which had earlier reported a 20 per cent jump in its second-quarter profit to Rs 14,843 crore, driven by fee income and improving asset quality. Together, the two lenders' numbers paint a picture of a banking sector that is lending steadily and cleaning up its books, even as treasury volatility trims headline profit growth.

In a related governance decision at the same board meeting, HDFC Bank re-appointed Lily Vadera, a former executive of the Reserve Bank of India, as an independent director for a fresh three-year term effective November 26, 2026 to November 25, 2029, subject to shareholder approval. The move adds a seasoned regulator's perspective to the board at a moment of significant leadership transition.

For investors and depositors, the coming months will be watched closely. Bharucha's departure removes the executive most associated with the bank's credit discipline, while Bagchi's arrival from the insurance and asset-management side of the ICICI Group brings a different leadership profile to the country's most valuable bank.

The RBI's approval process for Bharucha's exit, the handover of the wholesale and credit portfolios he oversaw, and the new CEO's first strategic moves will together define the next chapter of the institution.
